Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Nathan Donato, doing business as RitalgoClip ("RitalgoClip", "we", "us"), the operator of the RitalgoClip service at this website (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. Continued use of the Service after changes to these Terms take effect constitutes acceptance of the updated Terms.

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed to, and may not be used by, anyone under 18.

RitalgoClip is an AI-assisted video clipping tool: it analyzes video you submit — by video URL, by file upload, or by capturing a live stream you direct it to — and identifies, ranks, and renders short clips from it.

The Service is currently offered as an open beta. Features may change, be interrupted, or be discontinued at any time without notice.

Because the Service is in beta, it is provided "AS IS" and "AS AVAILABLE", without any commitment to uptime, performance, or continuity. Jobs, clips, transcripts, projects, and other data may be delayed, lost, or deleted without notice. You are responsible for keeping your own copies of any source material and any output you care about. We have no backup obligation to you.

• Provide accurate registration information and keep it current.
• You are responsible for safeguarding your credentials and for all activity under your account.
• One account per person. Notify us promptly of any unauthorized use.

"Your Content" means anything you submit to the Service by any input method — video URLs, uploaded files, live streams you direct the Service to capture — and anything the Service produces from it for you (clips, transcripts, titles, captions, renders).

You represent and warrant that you own, or have all rights, licenses, consents, and permissions necessary for, all of Your Content, including the rights needed for the Service to download, capture, store, copy, process, transcribe, analyze, and render it on your behalf. You are solely responsible for ensuring your use of the Service complies with the terms of any source platform (for example Twitch, YouTube, or TikTok) and with applicable law.

You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, and transform Your Content solely to provide and operate the Service. We claim no ownership of Your Content or of the clips generated from it.

You agree not to:

• Submit content you do not have the rights described in Section 6 for, or content that is unlawful, infringing, or defamatory.
• Use the Service in a way that violates a source platform's terms or circumvents its technical protections.
• Harass, deceive, or harm others with content produced through the Service.
• Probe, scrape, overload, reverse engineer, or interfere with the Service, or evade rate limits or access controls.
• Resell or provide the Service to third parties without our written consent.

If you believe content processed or stored by the Service infringes your copyright, email support@ritalgo.app with: identification of the work, the location of the allegedly infringing material, your contact information, and a statement that you believe in good faith the use is unauthorized. We may remove content and will suspend or terminate accounts of repeat infringers.

The Service relies on third-party providers to operate (listed in the Privacy Policy). Features that publish to a connected platform are additionally governed by that platform's own terms. We are not responsible for third-party platforms, their availability, or their actions (including removing content or revoking access).

Paid plans are billed through our payment processor at the price and billing period shown at checkout. Your subscription renews automatically at the end of each billing period, and your payment method is charged the then-current price, until you cancel.

You can cancel at any time in Settings → Manage Subscription (our billing portal) or by emailing support@ritalgo.app. Cancellation takes effect at the end of the current billing period; you keep access until then. We will notify you before a price change applies to your next renewal. Refunds are governed by our Refund Policy.

You may stop using the Service at any time and cancel as described above. We may suspend or terminate your access at any time for breach of these Terms, suspected infringement or abuse, or as part of winding down or changing the beta. Upon termination your right to use the Service ends and we may delete data associated with your account.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. AI-GENERATED OUTPUT — INCLUDING CLIP SELECTIONS, TITLES, CAPTIONS, AND TRANSCRIPTS — MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE USING OR PUBLISHING IT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) $100.

You will indemnify, defend, and hold harmless Nathan Donato (doing business as RitalgoClip) and RitalgoClip's contractors and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your breach of the rights warranty in Section 6, or your violation of these Terms or of any third party's rights.

We may update these Terms by posting the revised version at this URL with an updated "Last updated" date. For material changes we will provide notice on the site or by email.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in California.

If any provision of these Terms is unenforceable, the rest remains in effect. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the policies they reference are the entire agreement between you and us regarding the Service. Our failure to enforce a provision is not a waiver.
